TERMS OF PARTICIPATION

Please read these Terms carefully. By purchasing or accessing The Growth Thread (“Program”), you (“Client” or “You”) enter into the following agreement with Dana Midkiff, LLC (“Company”, “we”, or “us”) and agree to be bound by the terms stated herein.

PROGRAM/SERVICE

The Growth Thread is a digital coaching membership that provides strategic training, implementation tools, and mentorship for handmade sellers building sustainable, multi-platform businesses.

The Company shall provide access to:

  • A password-protected member portal containing video lessons, templates, checklists, planning tools, replays, and curated AI resources.

  • Community support via Slack, Facebook, and other group forums.

  • Live Q&A calls and workshops hosted by Dana Midkiff or approved ThreadPartners.

  • Additional tools and templates as specified within the Program offer.

You will retain access to the Program for as long as you remain an active, paying member. In the event the Program is discontinued, you will be notified at least 30 days in advance and offered an opportunity to download relevant resources.

COMMUNITY ACCESS

As part of the Program, you may be granted access to discussion groups hosted on Slack, Facebook, or similar platforms. These groups are provided for peer support and are moderated by The Company.

You agree to:

  • Respect the privacy and intellectual property of others.

  • Avoid spamming, solicitation, or self-promotion unless expressly invited.

  • Refrain from harassment or disruptive conduct.

The Company reserves the right to remove any member for behavior it deems harmful or inappropriate, with no refund.

FEES

You agree to pay the fee indicated at checkout, whether as a one-time payment or through a recurring monthly/annual subscription plan. If you select a payment plan, you authorize the Company to charge your payment method automatically according to that plan.

You are responsible for completing all scheduled payments unless otherwise stated in the Refund Policy. Failure to complete payments may result in loss of access to the Program.

METHODS OF PAYMENT

Payment must be made by a valid debit or credit card. By providing payment information, you authorize the Company to charge your selected method for all Program fees.

If a payment fails, you agree to promptly update your payment method. If all attempts fail, your access to the Program will be suspended.

REFUND POLICY

All sales for The Growth Thread are non-refundable. You may cancel your subscription at any time to prevent future billing. No partial refunds or credits will be issued for unused time or previously billed periods.

All cancellation requests must be submitted via your member portal or emailed to [email protected] prior to your next billing date.

CONFIDENTIALITY

You agree not to share, reproduce, or disclose proprietary content from the Program, including private conversations, training materials, chat transcripts, worksheets, or strategic templates, without written permission.

The Company agrees to maintain the confidentiality of your private member account and will not publicly disclose personal business data, login information, or sensitive communication.

INTELLECTUAL PROPERTY

All materials provided in the Program — including text, videos, lesson structures, templates, AI workflows, and other resources — are protected by copyright and owned by Dana Midkiff, LLC or its partners.

You are granted a limited, non-transferable license for individual use only. You may not copy, resell, share, edit, or distribute any content for commercial or group use without express written permission.

Violation of this clause may result in immediate termination of your membership without refund.

DISCLAIMER

The Company’s Terms of Use, Privacy Policy, and Website Disclaimer are hereby incorporated by reference into this Agreement. Except as modified by this Agreement, each of those agreements and policies shall apply fully to your participation in the Program.

Client understands that Dana Midkiff (herein referred to as “Consultant”) and Dana Midkiff, LLC are not acting as employees, agents, lawyers, doctors, therapists, public relations managers, business managers, registered dietitians, financial analysts, psychotherapists, or accountants.

Client agrees that Consultant has not promised, is not obligated to, and will not:

  1. Procure or attempt to procure employment, business opportunities, or sales for the Client;

  2. Perform business management functions, including but not limited to accounting, tax services, or investment advising;

  3. Provide psychological counseling, therapy, or psychoanalysis;

  4. Act as a public relations manager or secure publicity, interviews, media features, or influencer collaborations;

  5. Introduce the Client to Consultant’s network of contacts, media partners, collaborators, or business relationships;

  6. Guarantee visibility, exposure, platform results, or content performance.

Client understands that participation in The Growth Thread does not create an ongoing, individual consulting or coaching relationship. Any further relationship between the parties must be established in a separate written agreement.

EARNINGS DISCLAIMER

Dana Midkiff, LLC makes every effort to accurately represent the Program and its potential. However, we cannot and do not guarantee any specific results or earnings.

Any examples of income, success stories, or performance outcomes are not typical and are provided for illustrative purposes only. These results depend on individual effort, niche, product, experience, timing, pricing, and other uncontrollable variables.

We do not offer a "get rich" system or guaranteed income. Participation in The Growth Thread does not ensure future success, and you accept the inherent risk that business results may vary or be limited.

Forward-looking statements made in our content or sales materials — including terms like “expect,” “anticipate,” “project,” “goal,” or similar — are opinions and do not represent actual performance outcomes.

You agree that your results are your responsibility and that Dana Midkiff, LLC and its affiliates shall not be liable for any decisions or actions taken as a result of Program participation.

TERMINATION

The Company reserves the right to terminate your access to the Program, community spaces, or member portal at any time if you violate these Terms, disrupt the community, or fail to complete your payment plan.

No refunds will be issued in the event of termination due to breach of contract or conduct.

ASSIGNMENT

You may not assign or transfer this agreement or your Program access to another party without prior written permission.

INDEMNIFICATION

You agree to indemnify and hold harmless Dana Midkiff, LLC, its owners, agents, team members, and contributors from any and all claims, damages, expenses, or legal liability arising from your participation in the Program or breach of these Terms.

MODIFICATION

The Company may revise these Terms at any time. Updates will be communicated via the member portal or email. Continued access to the Program constitutes acceptance of the updated terms.

GOVERNING LAW

This agreement shall be governed by and construed in accordance with the laws of the State of Kentucky. Any disputes shall be resolved exclusively in the state or federal courts located in Louisville, KY.
